Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your use of the VerifyWall fraud detection API and related services ("Service") operated by VerifyWall ("we", "us", "our"). By creating an account or using our Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Acceptable Use
You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service to harass, discriminate against, or harm individuals based on verification results.
- Attempt to reverse-engineer, decompile, or extract the underlying algorithms or data sources of the Service.
- Submit fabricated data to manipulate risk scores or test the limits of our detection systems.
- Use the Service to facilitate spam, phishing, fraud, or any illegal activity.
- Resell, sublicense, or redistribute the Service or API access without our written consent.
- Intentionally overload the Service through excessive requests beyond your plan's rate limits.
- Share API keys with unauthorized third parties or use another user's API keys.
We reserve the right to suspend or terminate accounts that violate these terms, with or without notice depending on the severity of the violation.
3. Payments
All prices are listed and charged in Euros (EUR). Subscriptions are billed on a recurring basis according to your chosen billing cycle (monthly or annually).
- Free trial — New accounts receive a 7-day free trial. You will not be charged until the trial ends.
- Billing cycle — Monthly subscriptions are billed on the same date each month. Annual subscriptions are billed once per year at a discounted rate.
- Plan changes — Upgrades take effect immediately with prorated charges. Downgrades take effect at the end of your current billing period.
- Taxes — Prices may be subject to applicable taxes (e.g., VAT) depending on your jurisdiction. Taxes are calculated and displayed at checkout.
- Refunds — We do not offer refunds for partial billing periods. If you cancel, you retain access until the end of your current billing period.
- Failed payments — If a payment fails, we will retry the charge and notify you. After repeated failures, your account may be downgraded or suspended.
- Merchant of Record — Stripe acts as the Merchant of Record for all transactions, handling payment processing, tax collection, invoicing, and refunds on our behalf. By subscribing to the Service, you also agree to Stripe's Terms of Service and Stripe's Privacy Policy.
4. Rate Limiting
API requests are subject to rate limits based on your subscription plan:
- Starter plan — 60 requests per minute.
- Sentinel plan — 300 requests per minute.
Requests exceeding your rate limit will receive an HTTP 429 response. Rate limits reset every 60 seconds. We may adjust rate limits with 30 days' notice to ensure fair usage across all customers.
5. API Key Responsibilities
Your API keys are credentials that authenticate requests to our Service. You are responsible for:
- Keeping your API keys confidential and secure at all times.
- Never exposing API keys in client-side code, public repositories, or insecure environments.
- Using environment variables or secret management tools to store API keys.
- Rotating keys immediately if you suspect they have been compromised.
- All activity that occurs under your API keys, whether authorized by you or not.
If you believe your API keys have been compromised, revoke them immediately through your dashboard and generate new ones. We are not liable for unauthorized access resulting from your failure to secure your API keys.
6. Intellectual Property
All intellectual property rights in the Service, including but not limited to software, algorithms, APIs, documentation, trademarks, and trade secrets, are and remain the exclusive property of VerifyWall.
- License grant — We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms and your subscription plan.
- Restrictions — You may not reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service. You may not copy, modify, or create derivative works based on the Service. You may not remove or alter any proprietary notices or labels on the Service.
- Feedback — Any suggestions, ideas, enhancement requests, or other feedback you provide regarding the Service become the property of VerifyWall. We may use, modify, and incorporate such feedback without any obligation to you, including without compensation or attribution.
7. Termination
Either party may terminate this agreement at any time:
- By you — You may cancel your subscription at any time through your account settings. Access continues until the end of your current billing period.
- By us — We may suspend or terminate your account immediately for violations of these Terms, including but not limited to: abuse of the Service, non-payment, or illegal activity.
- Effect of termination — Upon termination, your API keys are revoked and access to the dashboard and API is disabled. Data is retained according to our Privacy Policy retention schedule.
We may also discontinue the Service entirely with at least 90 days' notice to all active subscribers.
8. Limitation of Liability
To the maximum extent permitted by law:
- No guarantee of accuracy — Risk scores and verification results are provided on a best-effort basis. We do not guarantee that all fraudulent activity will be detected or that all legitimate users will pass verification.
- Service availability — We strive for high availability but do not guarantee uninterrupted service. Scheduled maintenance and unforeseen outages may occur.
- Indirect damages — We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- Liability cap — Our total aggregate liability for any claims arising from your use of the Service is limited to the amount you paid us in the 12 months preceding the claim.
- Third-party services — We are not responsible for the availability or accuracy of third-party data sources used in our verification process.
9. Warranty Disclaimer
The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Any warranty that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
- Any warranty regarding the accuracy, reliability, or completeness of risk scores, verification results, or any data provided through the Service.
Nothing in this section is intended to limit or exclude any mandatory consumer rights that cannot be waived under applicable EU law, including but not limited to rights under the EU Consumer Rights Directive and applicable national consumer protection legislation.
10. Indemnification
You agree to indemnify, defend, and hold harmless VerifyWall, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:
- Your misuse of the Service or any violation of these Terms.
- Decisions you make based on risk scores or verification results provided by the Service, including but not limited to denying access, blocking users, or rejecting transactions.
- Your violation of any applicable law, regulation, or third-party rights.
- Any content, data, or information you submit to the Service.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of France. Any disputes arising from or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Chambéry, France. For consumers residing in the European Union, this clause does not affect your right to bring proceedings in the courts of your country of residence in accordance with applicable EU consumer protection regulations.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email at least 30 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree with the changes, you may cancel your subscription before the effective date.
